1. Acceptance of Terms

By installing or using ExitPop AI ("the App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App. These terms apply to all users of the App, including Shopify store owners and their authorized users.

2. Description of Service

ExitPop AI provides exit-intent popup functionality for Shopify stores, including:

• Customizable popup designs and templates
• AI-powered copy generation
• Email capture functionality
• Discount code display
• Analytics and performance tracking

3. Account and Access

To use the App, you must have an active Shopify store. You are responsible for maintaining the security of your Shopify account and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Billing

The App offers various subscription tiers with different features and usage limits. Billing is handled through Shopify's billing system. By subscribing to a paid plan, you authorize recurring charges to your Shopify account.

• Free tier: 100 popup views per month
• Paid tiers: As described on our pricing page
• Usage exceeding your plan limits may result in service restrictions
• You may upgrade, downgrade, or cancel at any time

5. Acceptable Use

You agree not to use the App to:

• Violate any applicable laws or regulations
• Send spam or unsolicited communications
• Collect emails without proper consent disclosures
• Display misleading, fraudulent, or deceptive content
• Interfere with or disrupt the App's infrastructure
• Attempt to gain unauthorized access to the App or its systems
• Use the App in a way that could harm minors
• Infringe on intellectual property rights

6. Content Responsibility

You are solely responsible for all content displayed in your popups, including text, images, discount offers, and any claims made. You represent that you have the right to use all content and that it does not violate any third-party rights.

7. Email Collection Compliance

When collecting emails through the App, you are responsible for:

• Complying with applicable email marketing laws (CAN-SPAM, GDPR, CASL, etc.)
• Obtaining proper consent from subscribers
• Providing clear unsubscribe mechanisms in your emails
• Maintaining your own privacy policy disclosing email collection

8. Intellectual Property

The App, including its design, features, and technology, is owned by ExitPop AI and protected by intellectual property laws. You retain ownership of your content but grant us a license to display it through the App.

11. Indemnification

You agree to indemnify and hold harmless ExitPop AI from any claims, damages, or expenses arising from your use of the App, your content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the App at any time for violation of these Terms or for any other reason at our discretion. You may uninstall the App at any time through your Shopify admin. Upon termination, your right to use the App ceases immediately.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the App. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
